1. Purpose of this Disclaimer

This Disclaimer applies to the ReadyVenture website, ReadyVenture OS, ReadyScore, ReadyMemo, ReadyRoom,readiness checklists, reports, educational content, calls, events, partner-network materials and other generalinformation provided by ReadyVenture Pty Ltd.

It explains the limits of ReadyVenture's role. Specific paid engagements may include additional disclaimers,assumptions and specialist-review requirements.

2. Business-readiness and information services only

ReadyVenture provides readiness, analysis, documentation, data-room preparation, AI-assisted reporting, workflowsupport, partner-routing and licensed or specialist partner handoff support.

The purpose is to help companies become more credible, structured, documented, de-risked and prepared forserious external review. Readiness does not mean that a company will obtain capital, credit, a grant, an introduction,a transaction or any other outcome.

3. No financial product or investment advice

ReadyVenture does not provide financial product advice or investment advice and does not recommend that anyperson invest in, acquire, dispose of or hold any financial product, security, share, note, unit or other investment.

Any investment decision must be made independently and, where appropriate, with advice from an appropriatelylicensed or authorised professional.

4. No securities placement, brokerage or capital-raising execution

ReadyVenture does not act as a broker, placement agent, securities dealer, investment bank, crowdfundingplatform or capital-raising agent. ReadyVenture does not undertake unlicensed securities placement, negotiateinvestment terms, handle investor funds or guarantee investor introductions.

Where securities placement, founder secondary execution, investment solicitation, transaction negotiation orregulated capital activity is required, the matter must be handled by an appropriately licensed, authorised or exemptpartner and relevant professional advisers.

5. No lending or credit advice

ReadyVenture is not a lender, credit provider or credit adviser and does not make credit decisions. Debt-readinesswork may organise financial information, repayment logic, liabilities, security information, use of funds and missingdocuments before independent lender or broker review.

ReadyVenture does not recommend a specific lender or credit product, determine statutory credit suitability,underwrite a facility, negotiate rates or covenants, or guarantee approval.

6. No legal, tax, grant or market-entry advice

ReadyVenture does not provide legal advice, tax advice, R&D; tax advice, grant eligibility determinations,foreign-investment advice or market-entry advice. Legal, tax, regulatory, grant, R&D; and cross-border matters mustbe reviewed by appropriately qualified professionals where required.

7. ReadyScore and readiness assessments

ReadyScore and other readiness scores are business-readiness tools based on information available at the time ofreview. They are not credit scores, investment ratings, legal opinions, audit opinions, valuations, certifications by aregulator or guarantees of third-party acceptance.

A score may change when new information becomes available, documents are corrected, assumptions change or adifferent jurisdiction, partner mandate or funding pathway is considered.

8. AI-assisted outputs

ReadyVenture may use AI-assisted tools for analysis, document review, summarisation, scoring support, riskidentification and drafting. AI-generated content can be incomplete, incorrect or contextually unsuitable.

ReadyVenture requires human review before client-facing release or partner-routing decisions. No user should relyon an unreviewed AI draft as professional advice or a final ReadyVenture conclusion.

9. Forecasts, valuations, models and assumptions

Financial models, valuation assumptions, market sizing, forecasts, scenarios and milestone plans are inherentlyuncertain and may rely on client-provided information, assumptions or third-party data. Actual results may differmaterially.

Unless expressly provided by a qualified professional under a separate engagement, ReadyVenture's work does notconstitute an audit, assurance opinion, valuation opinion, fairness opinion or verification of future performance.

10. Partner network and handoffs

ReadyVenture may identify partner categories or facilitate a consent-based handoff to an approved licensed,authorised, exempt or specialist partner where appropriate. A handoff is not a recommendation, endorsement,suitability decision or guarantee that the partner will accept the client or provide a particular service.

Partners are independent and responsible for their own advice, licensing, underwriting, due diligence, engagementterms, conflicts, fees, product decisions and transaction execution. ReadyVenture may receive disclosed partner,referral, workflow, platform, sponsorship or service fees where legally permitted.

11. No outcome guarantees

ReadyVenture does not guarantee funding, lending, grants, R&D; incentives, investor interest, lender approval,introductions, term sheets, valuation, founder secondary liquidity, Saudi/MENA partner interest, market entry,commercial contracts, revenue, growth or transaction outcomes.

Third-party decisions depend on factors outside ReadyVenture's control, including mandate, eligibility, underwriting,diligence, market conditions, jurisdiction, timing, risk appetite, company evidence and independent professionaljudgement.

12. Investor, lender and partner decisions

Any investor, lender, grant body, strategic partner, professional adviser or other third party must conduct its ownreview and make its own decision. ReadyVenture does not act for that third party merely because ReadyVenturehas prepared a company or made an introduction.

13. Founder secondary and liquidity matters

Founder secondary and liquidity readiness support is limited to preparation, documentation gaps, cap-tableconsiderations, valuation-readiness, governance questions and specialist handoff. ReadyVenture does not sellfounder shares, arrange a secondary transaction or provide securities, tax or legal advice.

14. Saudi/MENA and international pathways

Saudi/MENA and other international readiness services focus on strategic relevance, documentation, commercialevidence, cross-border diligence gaps and partner readiness. They do not guarantee market entry, foreigninvestment approval, local licensing, capital, partnership or regulatory clearance.

Local legal, tax, privacy, securities, credit, foreign-investment and market-entry requirements can vary materiallyand require jurisdiction-specific professional review.

15. Third-party websites, tools and information

ReadyVenture may refer to or integrate third-party websites, tools, databases, processors or partner materials.ReadyVenture does not control all third-party content, availability, security, decisions or terms and does not endorsea third party merely by linking to it.

16. Data rooms and document completeness

ReadyRoom and data-room preparation improve organisation, indexing, permissions and diligence readiness. Theydo not prove that documents are legally sufficient, complete, accurate or free of undisclosed issues. Clients remainresponsible for the accuracy and authority of documents they provide.

17. Obtain professional advice

Before making a material investment, borrowing, securities, legal, tax, grant, R&D;, foreign-investment, market-entryor transaction decision, obtain advice from appropriately qualified and, where required, licensed or authorisedprofessionals in the relevant jurisdiction.

18. Reliance, legal rights and liability

General website content should not be used as the sole basis for a material business or financial decision. To theextent permitted by law, ReadyVenture is not responsible for loss arising solely from reliance on general information,unreviewed drafts, third-party decisions or inaccurate information supplied to ReadyVenture.

Nothing in this Disclaimer excludes, restricts or modifies rights or remedies that cannot lawfully be excluded. Liabilityfor a paid service is also subject to the applicable client agreement.

ReadyVenture may update this Disclaimer as services, partner pathways, technology or legal requirements change.The current version will show its update date.
